1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LuminaProxy Inc. ("LuminaProxy," "we," "us," or "our") governing your access to and use of the LuminaProxy website, APIs, proxy network, and all related services (collectively, the "Services"). By creating an account or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use our Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using LuminaProxy, you represent and warrant that you meet these requirements. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access our Services, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

5. Service Description

5.1 Proxy Services

LuminaProxy provides access to residential, mobile, and datacenter proxy networks. We route your traffic through our infrastructure to provide IP rotation, geographic targeting, and anonymization capabilities.

5.2 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

5.3 Fair Usage

All plans are subject to fair usage policies. Excessive concurrent connections, bandwidth abuse, or activities that degrade service quality for other users may result in throttling or suspension.

6. Pricing and Payment

6.1 Fees

You agree to pay all fees associated with your selected plan. Prices are displayed in USD and exclude applicable taxes. We reserve the right to modify pricing with 30 days' notice; existing subscriptions will honor current pricing until renewal.

6.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Pay-as-you-go plans are billed based on actual usage. Failed payments may result in service suspension until the balance is resolved.

6.3 Refunds

We offer a 3-day money-back guarantee for new subscribers on monthly plans. Refund requests must be submitted within 72 hours of initial purchase. Annual plans, usage-based charges, and accounts terminated for policy violations are non-refundable. Unused bandwidth does not roll over and is non-refundable.

7. Intellectual Property

All content, features, and functionality of our Services—including but not limited to software, APIs, documentation, trademarks, and design—are owned by LuminaProxy and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without written permission.

We grant you a limited, non-exclusive, non-transferable license to use our Services solely for their intended purpose in accordance with these Terms.

8. API Terms

Access to our API is subject to rate limits and usage quotas defined by your plan. You agree to:

• Keep API credentials confidential and secure
• Not exceed rate limits or circumvent usage restrictions
• Not reverse engineer or attempt to extract source code
• Implement reasonable error handling and backoff mechanisms

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINAPROXY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to LuminaProxy in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless LuminaProxy, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

You may terminate your account at any time through your dashboard settings. We may suspend or terminate your access to the Services immediately, without prior notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Upon request by law enforcement or regulatory authorities

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against LuminaProxy.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and terminate your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LuminaProxy regarding your use of the Services and supersede all prior agreements and understandings.
